The "SellerSpace User Service Terms" (hereinafter referred to as "these Terms") are the terms and conditions established between the user (hereinafter referred to as "you") and Chongqing Yun Ya Information Technology Co., Ltd. (hereinafter referred to as "Yun Ya Technology" or "we") regarding the user's use of SellerSpace software and services.

To use the SellerSpace software and services provided by Yun Ya Technology, you should read and comply with these Terms. Please be sure to carefully read and fully understand the content of each clause, especially the clauses that exempt or limit liability, as well as the separate terms for activating or using a certain service, and choose to accept or not accept them. By filling in the information as prompted on the registration page, reading and accepting these Terms, and completing the registration of a SellerSpace account, or by actually using this service in other ways permitted by SellerSpace, you indicate that you have fully understood and agreed to accept all contents of these Terms, as well as various rules that SellerSpace has issued or may issue in the future. These rules include but are not limited to page displays, policies, announcements, operating procedures, or notices, etc. We have the right to modify this agreement and rules at any time and they will take effect immediately. Please check the latest version of the Terms and Rules of SellerSpace in a timely manner. We have the right not to notify you separately. If you continue to use SellerSpace services after the revision of these Terms and Rules, it will be deemed that you agree to such revisions.

I. Scope and Applicability

1. Scope of Applicable Entities of the Terms

These Terms are the terms and conditions established between you and Chongqing Yun Ya Information Technology Co., Ltd. regarding your download (if any), installation (if any), registration, login, and use of SellerSpace software-related services.

2. Relationship and Conflicting Terms

If there is any conflict or inconsistency between these Terms and the actually signed contract, the actually signed contract shall prevail.

Our direct competitors may not use this software and services without prior written permission. In addition, direct competitors may not use this software and services for the purpose of monitoring the availability, performance, or functionality of the services, or for any other benchmarking or competitive purposes.

The last update time of these Terms is November 30, 2022. We may continuously issue relevant terms, rules, specifications, and other content regarding this software. Once the aforementioned content is released, it becomes an integral part of these Terms and constitutes a unified whole with them. You shall also abide by them.

II. Rights and Obligations of Users

1. Users are obligated to provide their true business registration information and identity information and register with their real names during registration, and ensure the validity and security of information such as contact phone numbers, contact addresses, postal codes, etc. At the same time, users are also obligated to update relevant registration information on the platform in a timely manner when relevant information actually changes. Users warrant that they will not register or authenticate on SellerSpace using other people's information.

2. The registration and use of usernames shall comply with the relevant laws and regulations of the People's Republic of China. Usernames shall not contain threatening, obscene, abusive, illegal, infringing, or other controversial words.

3. After successful registration, users must protect their account and password. Users shall be solely responsible for any losses caused by their own disclosure. If a user discovers any illegal use of their account or security vulnerabilities, they shall immediately notify SellerSpace.

4. Users understand and agree that SellerSpace has the right to provide the registration information and transaction records and other necessary information filled in by users on SellerSpace to government departments (including judicial and administrative departments) upon their request.

5. Users agree: If they find that anyone is using their username or password without authorization, or if any other situation of username and password leakage occurs, the user shall immediately notify SellerSpace to request suspension of services; please ensure that you leave the website using the correct steps at the end of each online session. SellerSpace is not responsible for any losses or adverse consequences arising from the user's failure to comply with the regulations of this website.

6. Users shall not use SellerSpace to publish various types of illegal or违规 (violating regulations) information, including but not limited to: information that opposes the basic principles determined by the Constitution; endangers national unity, sovereignty, and territorial integrity; leaks state secrets, endangers national security, or damages national honor and interests; incites ethnic hatred, ethnic discrimination, undermines national unity, or infringes upon ethnic customs and habits; promotes cults and superstitions; spreads rumors, disrupts social order, and undermines social stability; promotes obscenity, gambling, violence, or incites crime; insults or slanders others, infringes upon the legitimate rights and interests of others; endangers social morality or excellent national cultural traditions; or other content prohibited by laws, administrative regulations, and national regulations.

7. Users undertake that all their actions when using SellerSpace comply with national laws, regulations, current policies, and relevant provisions of SellerSpace, as well as various social public interests or public morals. If any violation leads to any legal consequences, such as user violations of the above provisions, SellerSpace has the right to directly take all necessary measures, including but not limited to temporarily freezing the account or even canceling the account, etc. If suspected of illegal or criminal activities, SellerSpace reserves the right to report, accuse, or sue the user to relevant administrative or judicial departments.

8. Users agree to receive emails and messages sent by SellerSpace.

III. Rights and Obligations of SellerSpace

1. SellerSpace is obligated to maintain the normal operation of the entire system based on existing technology, and strive to improve and enhance technology so that users' online transaction activities can proceed smoothly. SellerSpace shall promptly respond to and resolve problems and feedback from users during registration and use of the SellerSpace system.

2. For improper behavior implemented by users using the SellerSpace system, or any other circumstances that SellerSpace deems should terminate services, SellerSpace has the right to delete relevant information and terminate services at any time without the need to obtain user consent.

3. If a user maliciously registers for improper purposes, once discovered, SellerSpace has the right to cancel all rights and interests of the user on this website without the need to obtain user consent.

4. SellerSpace has the right to transfer the operation and maintenance rights of the system to a third party without seeking user consent, and notify users of this situation in the form of system messages, letters, or other written forms. From the time the notice reaches the user, the third party shall continue to provide services to users in accordance with the terms of these Terms of Service.

5. SellerSpace has the right to unilaterally decide at any time whether to charge users for services. Even if the services provided by SellerSpace to users are free services, it does not prevent SellerSpace from having the right to convert free services into paid services when deemed necessary. If the user refuses to pay, SellerSpace has the right to unilaterally restrict or terminate services to the user at any time.

IV. Service Fees

1. Some of our services are provided for a fee. If you use paid services, please abide by the relevant terms. We may modify and change the charging standards and methods of paid services according to actual needs, and may also start charging for some free services. Before the aforementioned modifications, changes, or commencement of charging, we will notify or announce on the corresponding service page. If you do not agree to the above modifications, changes, or paid content, you should stop using the service.

2. If you subscribe to a SellerSpace plan via credit card, the automatic renewal service will be enabled by default. Fees will be automatically deducted after each billing cycle expires. You can cancel the automatic renewal yourself in 【Personal Center】 at the latest one day before the end of each billing cycle. Canceling automatic renewal will not affect the paid membership rights that have already been successfully activated. If automatic deduction is unsuccessful, the plan will be deemed to have expired and paid membership rights will be terminated.

3. After you make a payment to our company, it means that you agree to accept SellerSpace's services and can enjoy all membership rights stipulated by SellerSpace during the contract period. You understand and agree that service fees are non-refundable once paid, except under special circumstances.

4. Unless otherwise agreed, the stated prices for services do not include all applicable taxes and currency exchange fees. You are responsible for paying such taxes or other fees. If we do not receive all payments from you on time, we may suspend or cancel the service. Suspension or cancellation of services due to non-payment may result in you not being able to access and use your account and its content.

V. Disclaimer of Liability

1. SellerSpace provides SellerSpace services to users, but does not make any commitments or guarantees regarding the absolute effectiveness, accuracy, correctness, reliability, quality, stability, completeness, and timeliness of the technology and information involved in SellerSpace services. No express or implied warranties are made for SellerSpace services, including but not limited to whether SellerSpace services are applicable, whether there are errors or omissions, whether they have continuous, accurate, reliable, and other properties, and whether they are suitable for a specific purpose, etc.

2. SellerSpace only provides SaaS services to users, and is not responsible for the operation of user stores on their behalf, nor is it a trustee of users, and does not bear any risks and responsibilities in users' operations.

3. Users are aware of and fully understand that SellerSpace uses technical means to analyze the operating conditions of users' Amazon stores based on the store operating data and other information provided by users, and provides empowerment services for users in store operations, but does not represent that SellerSpace makes any express or implied promises about the actual future performance of the stores. Users shall be responsible for making their own business decisions and be responsible for their decisions. The analysis and suggestions made by SellerSpace are only for users' reference in the decision-making process. Users shall not request SellerSpace to reduce or refund fees (if any) or require SellerSpace to bear any expected operating losses of users on the grounds that the operating results have not met expectations.

4. Users should designate dedicated personnel with corresponding abilities and experience to use SellerSpace's services. Normal and prudent use of SellerSpace will not generate association risks, but SellerSpace does not assume any responsibility for losses caused by improper use by users.

5. SellerSpace shall make commercially reasonable efforts to meet users' service needs in accordance with the provisions of this contract. If users find loopholes or defects in the system during use, they shall promptly report them to SellerSpace. SellerSpace will try its best to take all reasonable measures to remedy them in a timely manner, and users shall provide necessary cooperation. If the loopholes or defects are unavoidable under the existing technical conditions in the industry, and SellerSpace has fulfilled its main obligations and taken reasonable remedial measures, SellerSpace shall not be liable.

6. Users expressly understand and agree that SellerSpace shall not be liable for damages caused by hacker attacks, unauthorized access by third parties, or third-party modification of users' transmission data, etc.

VI. Force Majeure

The following situations are force majeure, and SellerSpace shall not be liable for failure to provide services caused by force majeure:

1. Accidental failures of networks, communications, or electricity;

2. Major natural disasters such as earthquakes, fires, floods, storms, explosions, and major public health events;

3. Strikes, riots, uprisings, disturbances, wars, government actions;

4. Decisions or orders of domestic or foreign administrative agencies, judgments or rulings of domestic or foreign courts.

VII. Confidentiality Clause

Without the written consent of the other party, neither party to this agreement shall disclose to any third party the other party's trade secrets or personal privacy that it knows, otherwise it shall bear corresponding legal liability.

VIII. Intellectual Property Protection

1. Any related software, programs, and content used by the SellerSpace platform, including but not limited to works, pictures, text, audio, video, archives, materials, website architecture, website layout arrangements, webpage design, advertisements or information presented to members or customers through this website or advertisers, are owned by SellerSpace and enjoy corresponding intellectual property rights, including but not limited to copyright, trademark rights, or other exclusive rights, etc., and are protected by relevant laws.

2. Without the express authorization of SellerSpace or other rights holders, users shall not use them without authorization, including but not limited to illegally copying, disseminating, displaying, mirroring, uploading, downloading, modifying, leasing, lending, selling, or distributing any of the above-mentioned materials and resources of the SellerSpace platform, or making any kind of products based on the above-mentioned materials and resources. Otherwise, SellerSpace will pursue legal liability according to law.

IX. Information Protection

SellerSpace values your personal information protection. SellerSpace will collect, store, disclose, and use your personal information in accordance with the "SellerSpace Privacy Policy". You confirm that you have fully understood and agreed to the terms of the SellerSpace Privacy Policy.

X. Miscellaneous

1. All aspects of this website agreement shall be governed by the laws of the People's Republic of China. If any provision of this website agreement is determined to be invalid or unenforceable, that provision shall be revoked and the remaining provisions shall be enforced. Clause headings are for convenience of reference only and do not define, limit, interpret, or describe the scope or extent of the clause in any way.

2. SellerSpace's failure to take action with respect to a breach by you or others does not waive its right to take action with respect to any subsequent or similar breaches.

3. If any disputes or controversies arise between the user and SellerSpace, the two parties shall resolve them through friendly consultation; if the consultation fails, either party may file a lawsuit in the people's court with jurisdiction in the location of SellerSpace (Yubei District, Chongqing City).
